1. Parties and governing law

VEM Client is provided by one of two Vibuh Solutions entities, depending on the currency in which the Customer pays. In these terms, “Vibuh”, “we” and “us” mean the entity in the table below, and “the Customer” means the organization that buys or uses a VEM Client subscription.

Acceptance. By creating a VEM Client account, paying for a subscription, or using the service, the person doing so confirms they have authority to bind the Customer and accepts these terms on its behalf.

Order of precedence. Enterprise customers may sign a separate agreement. Where it conflicts with these terms, the signed agreement prevails.

2. Terms of Service

2.1 The service. VEM Client is a cloud workforce and HR management platform covering hiring, HR documents, payroll record-keeping and payslip generation, leave, timesheets, shift rostering, performance reviews, employee exit, expenses, projects and reporting. It is offered on a subscription basis as described on the pricing page.

2.2 A system of record, not advice. VEM Client records and generates payroll, statutory and HR information from values the Customer enters. It does not give tax, legal or employment advice, and the Customer remains responsible for the accuracy of all payroll components, rates, statutory filings and employee data it enters or relies on.

2.3 Accounts. The Customer is responsible for keeping credentials secure, for the actions of its users, and for assigning administrator roles carefully. The Customer must tell us promptly if it suspects unauthorized access.

2.4 Acceptable use. The Customer will not: store or process data it has no right to process; attempt to bypass security controls or access other customers’ data; use the service to send unlawful or abusive content; reverse engineer or resell the service; or disrupt the service for others.

2.5 Customer data and ownership. The Customer owns the data it enters. It grants us only the rights needed to host, process and back up that data to provide the service. We own the software, design and documentation.

2.6 Availability and support. We use reasonable efforts to keep the service available and to give notice of planned maintenance. We do not guarantee a specific uptime percentage and offer no service credits. Support is by email at admin@vsol.in, with a target first response within one business day.

2.7 Changes to the service. Features may change or be retired over time. We will give reasonable notice of material changes that remove a feature the Customer relies on.

2.8 Suspension and termination. We may suspend access for non-payment (see section 3.5), for a serious breach of section 2.4, or where needed to protect the security of the service. We will tell the Customer why, where lawful. Either party may end the agreement for a material breach that is not fixed within 30 days of written notice.

3. Billing, tax and renewals

3.1 Plans and payment. Business subscriptions are charged per user, monthly or annually, in advance. Annual plans are one upfront payment covering twelve months. Payments are processed by Stripe; card details go to Stripe and are never stored by us. A free plan for up to 5 users has no charge and no billing cycle.

3.2 Auto-renewal. Subscriptions renew automatically for the same period until cancelled. See the cancellation terms.

3.3 Tax. Displayed prices exclude GST (India) and VAT (UK). Tax is added at checkout or on the invoice where it applies, at the rate in force.

3.4 Price changes. We will give at least 30 days’ written notice by email before any price change takes effect. A change applies from the next renewal only, so the Customer can cancel before it applies.

3.5 Failed payments. If a renewal payment fails, we will retry and email the Customer for 7 days. If it is still unpaid, we may suspend paid features until payment is made or the subscription is cancelled. Data is retained during suspension under section 4.3.

3.6 Changing seats. The Customer may add users at any time; additional seats are charged pro rata for the remainder of the current term. Reducing seats takes effect at the next renewal, and no credit is given for the remainder of the current term.

3.7 Disputes. The Customer agrees to contact us at admin@vsol.in before raising a chargeback, so we can resolve billing errors quickly.

4. Data protection and security

4.1 Roles. For employee and workforce data that the Customer enters into VEM Client, the Customer is the data controller (or equivalent under applicable law) and we act as its processor, processing the data only on the Customer’s documented instructions and to provide the service. We are the controller of the Customer’s own account and billing contact data.

4.2 Data Processing Addendum. A Data Processing Addendum covering UK GDPR and India’s Digital Personal Data Protection Act is available on request at admin@vsol.in.

4.3 Export and deletion. When a subscription ends or is cancelled, the Customer has 30 days after the end of the paid period to export its data. After that, we delete the workspace data, except records we must keep for legal, tax or accounting reasons. Data is retained, but access to paid features may be suspended, during a payment grace period.

4.4 Security safeguards. We apply reasonable technical and organizational safeguards, including role-based access control, encrypted connections (TLS) in transit, encryption at rest for data stored in our database (AES tablespace encryption, with KYC documents additionally encrypted at the application layer), audit logging of administrative activity, restricted production access, and regular backups. No system is perfectly secure, and we do not promise that the service will be free from all security incidents.

4.5 Personal data breach. If we confirm a personal data breach affecting the Customer’s data, we will notify the Customer without undue delay and in any event within 72 hours of confirmation, with the information it needs to meet its own obligations.

4.6 Sub-processors. The Customer authorizes the sub-processors listed in our Privacy Policy. We will update that list and give notice before adding a new one that processes customer data.

4.7 Customer responsibilities. The Customer is responsible for having a lawful basis and any required notices or consents for the employee data it enters, and for using access controls inside VEM Client appropriately.

5. Liability and general terms

5.1 Limit of liability. To the extent the law allows, our total liability to the Customer for all claims arising from the service in any contract year is limited to the fees the Customer paid in the 3 months before the event giving rise to the claim. We are not liable for indirect or consequential loss, loss of profit, revenue or goodwill, or loss of data caused by the Customer’s own actions.

5.2 What is not limited. Nothing in these terms limits liability that cannot lawfully be limited, including liability for fraud, or for death or personal injury caused by negligence.

5.3 Warranty disclaimer. The service is provided “as is” beyond the commitments in these terms. We do not warrant that it will be uninterrupted or error-free, or that outputs such as payslips or statutory reports satisfy a particular filing requirement without the Customer’s own review.

5.4 Force majeure. Neither party is liable for failure caused by events beyond its reasonable control.

5.5 Notices. Notices to us go to admin@vsol.in. Notices to the Customer go to the work email used at checkout or the administrator email on the account.

5.6 Changes to these terms. We may update these terms. Changes apply from the next renewal for existing subscriptions, with at least 30 days’ notice of material changes.
